Keywords The Commercial Code - Contract of Purchase - Duties of a Buyer - Purchase on Trial - Price Clause - Currency Clause
Description A buyer is obliged to pay a purchase price and to take over delivered goods according to the contract. A payment of the agreed purchase price belongs to the essential duties of the buyer. Practically, time of payment on the delivered goods is often agreed in the contract. If this is not true, then the Commercial Code harbours relevant rules. If the purchase price should be payed at the time of goods s or documentation s delivery, the buyer is obliged to pay the purchase price at this delivery place. This provision of the Commercial Code applies (among others) in connection with a documentary collection too. Unless anything else results from the contract, the buyer is obliged to pay the purchase price when a seller (conformable with the contract and the provision of the Commercial Code) enables the buyer to handle the goods or the documentation which enables the buyer to handle the goods. The seller can make dependent the handover of goods or documentation upon the payment of the purchase price.
